11. INDEMNIFICATION

You acknowledge & agree to indemnify,hold harmless and defend, the Company, its assigns, affiliates,and successors, and each of their respective investors,officers, directors, agents,employees, and suppliers (incorporating content licensors & distributors) from and against any claims, losses, liabilities, damages, involving expenses and legal fees, arising out of:

• any claim due to or appearing out of your infringement or violation of the given Terms and conditions, incorporating but not only limited to a claim appearing out of a violation of your warranties or representations made hereunder;
• Your access to or usage or misuse of the Services or the Site;
• your breach of any term, rule, law, regulation or third party rights, incorporation without limitation to any copyright, privacy right, property, or
• any claim that damage has been caused by you to any of the third parties.

The Company holds the right, at its sole expense, to hire or employ separate counsel and assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you accept to cooperate with the Company's defence of these claims.

Notice of Copyright Infringement: Our policy complies with each and every Intellectual Property Laws and acts expeditiously on receiving a notice of claimed infringement. If you firmly believe that a work has been reproduced on this site in a way that constitutes infringement of copyright, kindly provide a notice of copyright infringement which contains these following information:

• An electronic or physical signature of an authorized person who will act on behalf of the copyright owner for the purposes of the complaint.
• An identification of the claimed copyrighted work that has been infringed.
• An Identification of the claimed copyrighted material on our site that is infringing or is to be the subject of infringing activity.
• The address, e-mail address, or telephone number of the complaining person/party.
• A statement that states that the complaining person/party has a good-faith belief that the utilization of the material in the way complained of is unauthorized by the copyright owner, its agent or the regulation and law.
• A statement, under the penalty of perjury, that the information provided in the copyright infringement notice is accurate, complete, and the complaining party is given authorization to act on behalf of the owner that is infringed allegedly.

13. GENERAL TERMS

Relationship. None of the provisions of the terms and conditions should be deemed to constitute a partnership/agency between the Company and you and you have no right/authority to bind the Company in any possible manner. This acknowledgement/agreement is for your and the Company’s benefit and is not for any other person’s benefit, apart from assigns and successors under this Agreement.

Assignment. You have no right to transfer to anyone else, either permanently or temporarily, any of the rights to use the Services or any part of the Services. An attempt by you to do so is null, empty, and void. The Company may assign, delegate, grant, or/and transfer any or all parts of its privileges, properties, and rights and hereunder to any other entity or person.

Force Majeure. Neither party should have any liability for a delay or interruption, to access the Site because of a Force Majeure Event. Force Majeure Event implies a circumstance or event or a combination of circumstances and events that are rationally beyond the control of the party affected and which causes/results in delay or default in performance by the affected party of its obligations/duties under this agreement and includes an act of God, civil commotion, hostilities, lockouts, strikes, war, and other industrial disputes.

Applicable Law. The terms and conditions are construed by and governed in respect to, the laws of India not giving effect to principles of conflict of law. In an event of claim or dispute by you against the Company, you hereby acknowledge to submit to the exclusive jurisdiction of courts at New Delhi.

Limited Time To Bring Your Claim. The Company and you agree that any cause of action rising from or related to use of the Services or the Site must commence within a time duration of one year after the cause of action accrues or else, such cause of action will be completely and permanently barred.

Survival. Obligations and rights under the terms and conditions which, by their nature, shall survive, will remain in full effect even after expiration or termination of the subscription.

Non Waiver. Any express failure or waiver to promptly exercise any right under the agreement will not make for a continuing waiver or an expectation of non-enforcement.

Entire Agreement. The terms and conditions make/constitute the complete agreement between the parties respective of the subject matter hereof and replaces and supersedes all contemporaneous or prior agreements or understandings, whether oral or written, regarding such subject matter.
